NZ Company Registered Office: Requirements and Options in 2026

Every NZ company must maintain a registered office under the Companies Act 1993. Here is what that means in practice, what your options are, and what happens if you get it wrong.

What Is a Registered Office?

Under section 186 of the Companies Act 1993, every New Zealand company must have a registered office in New Zealand. The registered office is the official address where legal documents, court notices, and correspondence from the Companies Office can be served on the company.

It does not need to be where the business actually operates. It does not need to be a physical office. But it does need to be a real address that can receive service of process during business hours.

What the Law Actually Requires

The Companies Act sets out these specific requirements for a registered office:

  • It must be a physical address in New Zealand — not a PO Box.
  • It must be accessible during business hours so documents can be served.
  • Changes to the registered office address must be notified to the Companies Office within 20 working days.
  • The address is publicly available on the NZ Companies Register.
  • Directors and shareholders can inspect company records at the registered office.

Failure to maintain a registered office is a compliance breach that can attract penalties and, in serious cases, contribute to the grounds for company strike-off.

Your Options for a Registered Office

Use Your Own Business Address

If you operate from a fixed commercial address in New Zealand, using it as your registered office is the simplest option. This works well for businesses with a stable office or shopfront. Keep in mind that the address is publicly visible on the Companies Register, so a home address will become public if used.

Use Your Accountant's or Lawyer's Address

Many NZ accountants and lawyers provide registered office services for their clients. This is common for businesses with overseas directors, home-based businesses that do not want a residential address publicised, or companies that change address frequently. Fees range from NZ$150 to NZ$500 per year depending on the provider.

Use a Virtual Office Provider

Several NZ companies provide registered office services as a standalone product, typically for NZ$100–$300 per year. Providers include Smartoffice, Virtualoffice.co.nz, and similar services. They receive and scan mail, notify you of any served documents, and maintain the compliance requirement. This is a practical option for overseas-directed companies, sole directors without a commercial premises, and startups operating from home.

Use a Trustee or Nominee Service

For companies with overseas directors who need a NZ-resident director (required under section 10 of the Companies Act if none of the directors are resident in Australia), specialist trustee companies provide both the resident director function and a registered office address. This is the appropriate structure for offshore-owned NZ companies.

What About an Overseas Director?

If none of a company's directors are resident in New Zealand or Australia, the company must appoint a NZ-resident director. The registered office requirement is separate but often solved by the same provider. Many trustee and company secretarial services in NZ bundle both services.

Changing Your Registered Office Address

Notify the Companies Office within 20 working days of any change. This is done through the online portal at companies.govt.nz. The change takes effect when filed. There is no fee for updating the address online.

Do not leave a registered office at an old address after you move. Documents served at the old address are treated as validly served even if you never receive them.

Common Mistakes to Avoid

  • Using a PO Box: Not permitted. Must be a physical address.
  • Using an address without permission: Do not use another business's address without a written agreement.
  • Forgetting to update after moving: Companies that move and forget to update the register risk missed legal notices.
  • Using a home address when privacy matters: Your registered office is publicly visible on the Companies Register. Consider a virtual office if this is a concern.
