What is the NZ company annual return?
Every NZ company must file an annual return with the Companies Register each year. The return confirms the company's registered details: directors, registered address, and shareholding structure. It is not the same as your tax return.
The deadline is 20 working days after your company's incorporation anniversary. Missing this deadline can lead to a strike-off notice from the Registrar.
FAQ
When is my first annual return due?
Your first annual return is due within 20 working days after the first anniversary of your incorporation date. Use the calculator above to see the exact date.
Do I need to attach financial statements?
Small companies (turnover under NZ$30,000, no employees, not a subsidiary) can file without financial statements. Larger companies must attach financial statements prepared under NZ GAAP.
What if my company details have changed?
Update director details, address changes, and shareholding changes at the Companies Office as they happen during the year. The annual return then confirms the current state of your records.
Can my accountant file it for me?
Yes. Many accountants include annual return filing in their year-end package. This is a good option if your accountant is also preparing your financial statements and tax return at the same time.
